1. Acceptance of These Terms
These Terms of Service (“Terms”) govern your access to and use of Skoliq, including our website, mobile applications, web application, school portals, homeschool tools, teacher tools, study tools, communication features, and related services (collectively, the “Services”).
By creating an account, accessing, downloading, installing, or using Skoliq, you agree to these Terms and our Privacy Policy. If you use Skoliq on behalf of a school, company, homeschool group, tutor center, music school, or other organization, you represent that you are authorized to accept these Terms on behalf of that organization.
Important: These Terms are a strong operating draft for product launch and app submission. Have them reviewed by qualified legal counsel before publication.
2. About Skoliq
Skoliq is a student-first learning companion and study operating system. It may include features for schedules, subject workspaces, assignments, projects, submissions, teacher feedback, grading, study plans, Pomodoro focus sessions, notes, files, quizzes, flashcards, AI study kits, reports, portfolios, messages, announcements, and progress tracking.
Skoliq may be used by individual learners, schools, homeschool families, teachers, parents, tutors, training centers, review centers, music schools, and similar learning organizations.
3. Eligibility and Minor Users
You may use Skoliq only if you can legally agree to these Terms, or if your parent, guardian, school, teacher, or authorized organization has permitted your use.
- If you are a minor, you may use Skoliq only with appropriate parent, guardian, school, or teacher authorization.
- If you are a parent, guardian, teacher, or school administrator, you are responsible for ensuring that student use of Skoliq complies with applicable consent, privacy, safety, and school policies.
- If you provide access to students, you represent that you have authority to do so and that you will use Skoliq in compliance with applicable laws and policies.
4. Accounts and Security
To use certain features, you may need an account. You agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, except where caused by Skoliq's failure to use reasonable security measures.
You must notify us promptly if you suspect unauthorized access, account compromise, or misuse of the Services.
4.1 Role-Based Access
Skoliq uses roles such as student, teacher, parent, guardian, school administrator, tutor, homeschool administrator, and platform administrator. Features and visibility depend on account role, tenant settings, subscription plan, and organization policies.
4.2 Account Deletion
If your account allows deletion, you may request deletion through the in-app settings when available or by contacting privacy@skoliq.com. School-managed users may need to contact their school or tenant administrator because educational records may be controlled by the organization.
5. Schools, Teachers, Parents, and Student Workflows
Skoliq supports both personal study workflows and official school or teacher-controlled workflows.
5.1 Personal Study Work
Students may create personal tasks, notes, study plans, flashcards, quizzes, focus sessions, uploaded files, and practice materials. Personal notes are private by default unless shared, submitted, or attached to official work.
5.2 Teacher-Controlled Work
Teachers, schools, tutors, or authorized administrators may create official schedules, lessons, assignments, tasks, projects, quizzes, flashcard decks, submissions, deadlines, rubrics, feedback, grades, and reports. Students may not edit official teacher deadlines or grades unless the authorized teacher or administrator allows it.
5.3 Submissions, Feedback, and Grading
When students submit work through Skoliq, the submitting user grants Skoliq permission to store, display, transmit, and process the submission for classroom, grading, reporting, portfolio, and recordkeeping purposes. Teachers and authorized administrators may review, comment, grade, return, request revision, archive, or export submitted work according to tenant settings and school policy.
5.4 Educational Decisions
Teachers, schools, tutors, parents, or educational organizations remain responsible for academic decisions, grading policies, student evaluations, curriculum choices, and educational outcomes. Skoliq provides tools and does not guarantee any grade, score, admission result, certification, academic improvement, or learning outcome.
6. User Content and Ownership
You retain ownership of content you create or upload, subject to the rights granted in these Terms. User Content may include notes, files, messages, assignments, submissions, projects, quizzes, flashcards, images, video, audio, and other materials.
6.1 License to Operate the Services
You grant Skoliq a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, transmit, format, and use User Content only as necessary to provide, secure, support, and improve the Services, including features requested by you or your organization.
6.2 Responsibility for Content
You are responsible for your User Content and must ensure you have the rights and permissions necessary to upload, share, submit, or process it through Skoliq. Do not upload content that violates laws, intellectual property rights, privacy rights, school rules, or these Terms.
6.3 Prohibited Content
You may not upload, create, share, or transmit content that is unlawful, harmful, abusive, harassing, discriminatory, sexually explicit, exploitative, violent, threatening, defamatory, fraudulent, invasive of privacy, infringing, or otherwise inappropriate for an educational environment.
7. Acceptable Use
You agree not to misuse Skoliq. Prohibited conduct includes:
- attempting to access accounts, tenants, data, systems, or features without authorization;
- interfering with or disrupting the Services;
- copying, scraping, harvesting, or exporting data without authorization;
- reverse engineering, decompiling, or attempting to extract source code except as legally permitted;
- uploading malware, harmful code, spam, or deceptive content;
- using Skoliq for cheating, impersonation, academic dishonesty, or misrepresentation;
- bullying, harassing, threatening, or exploiting other users;
- using Skoliq to violate school policies, privacy rights, intellectual property rights, or applicable laws;
- using automated tools to abuse, overload, or bypass limitations of the Services.
We may investigate violations and may suspend or terminate accounts, restrict features, remove content, or report unlawful activity where appropriate.
8. AI Study Features
Skoliq may include AI-assisted features that generate summaries, quizzes, flashcards, study kits, explanations, weak-topic suggestions, study plans, task breakdowns, or other learning support.
8.1 AI Outputs Are Learning Aids
AI outputs are provided for study assistance and productivity. They may be inaccurate, incomplete, outdated, or unsuitable for formal academic use without review. Users should verify important information with teachers, official materials, textbooks, or reliable sources.
8.2 Teacher Approval for Official Use
In classroom or school mode, AI-generated materials may require teacher approval before being used as official lessons, assignments, graded quizzes, or required study materials.
8.3 No Academic Guarantee
Skoliq does not guarantee improved grades, exam performance, academic success, admission, certification, or any specific learning result.
9. Communication Features
Skoliq may provide messages, group chat, task comments, document comments, announcements, and project discussions. Communication features must be used respectfully and for legitimate educational purposes.
For student safety, schools or administrators may enable moderation, message visibility, reporting tools, audit logs, restricted direct messaging, or parent/teacher visibility depending on account type and policy.
10. Privacy
Your use of Skoliq is also governed by our Privacy Policy. The Privacy Policy explains how we collect, use, share, retain, and protect information.
11. Subscriptions, Billing, and Payments
Some Skoliq features may require a paid subscription, school contract, pilot agreement, or in-app purchase. Pricing, features, limits, billing cycles, and renewal terms will be shown at checkout, in the applicable order form, or in a separate agreement.
- Fees are due according to the selected plan or agreement.
- Subscriptions may renew automatically unless cancelled according to the applicable terms.
- Taxes, app store fees, payment processor fees, and currency conversion charges may apply.
- Refunds are handled according to the applicable plan, app store policy, payment processor policy, or written agreement.
If you purchase through Apple App Store or Google Play, the app store's payment, cancellation, and refund rules may apply.
12. Pilot, Beta, and Early Access Features
Skoliq may offer pilot, beta, preview, or early access features. These features may be incomplete, experimental, unavailable, changed, or discontinued at any time. Use pilot and beta features with appropriate caution, especially for official grading, school records, or student data.
13. Service Availability and Changes
We aim to provide reliable Services, but Skoliq may be unavailable from time to time due to maintenance, updates, outages, third-party service issues, security events, or circumstances beyond our control. We may change, suspend, remove, or limit features as needed to improve the Services, comply with law, protect users, or manage product direction.
14. Intellectual Property
Skoliq, including its name, logo, design, software, interfaces, workflows, graphics, documentation, and related materials, is owned by Skoliq or its licensors and is protected by intellectual property laws. These Terms do not grant you ownership of Skoliq or its intellectual property.
You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from Skoliq except as expressly allowed by these Terms or a written agreement.
15. Third-Party Services
Skoliq may integrate with or link to third-party services, such as app stores, cloud providers, authentication providers, calendars, payment processors, AI providers, analytics tools, storage services, or educational resources. Third-party services are governed by their own terms and policies. Skoliq is not responsible for third-party services unless required by law.
16. Suspension and Termination
We may suspend or terminate access to Skoliq if we reasonably believe that you violated these Terms, created risk to users, caused security concerns, failed to pay fees, violated applicable law, or used the Services in a harmful or unauthorized way.
You may stop using Skoliq at any time. Account deletion and data deletion requests are handled according to our Privacy Policy, school agreements, legal requirements, and technical backup practices.
17. Disclaimers
To the maximum extent permitted by law, Skoliq is provided on an “as is” and “as available” basis. We do not warrant that the Services will be uninterrupted, error-free, secure, or that all content, AI outputs, reminders, schedules, grades, or reports will be accurate or complete.
Skoliq is not a substitute for professional teaching judgment, school administration, legal advice, mental health support, emergency services, or parental supervision.
18. Limitation of Liability
To the maximum extent permitted by law, Skoliq and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, academic opportunity, grades, or business interruption arising from or related to your use of the Services.
To the maximum extent permitted by law, Skoliq's total liability for any claim related to the Services will not exceed the amount paid by you or your organization to Skoliq for the Services during the twelve months before the claim, or PHP 5,000 if no amount was paid, unless applicable law requires otherwise.
19. Indemnity
If you are using Skoliq on behalf of an organization, you agree to defend, indemnify, and hold harmless Skoliq from claims, damages, liabilities, costs, and expenses arising from your organization's use of the Services, violation of these Terms, violation of law, or misuse of student information, except to the extent caused by Skoliq's own unlawful conduct.
Individual consumers and student users may have different rights under applicable law, and this section applies only to the extent permitted by law.
20. Governing Law and Dispute Resolution
Unless a separate written agreement states otherwise, these Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. Courts located in the Philippines will have jurisdiction, unless applicable consumer protection or education laws require a different venue.
Before filing a formal dispute, please contact us so we can try to resolve the issue informally.
21. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice, such as posting the updated Terms, updating the effective date, sending an email, or providing in-app notice. Continued use of Skoliq after the effective date of updated Terms means you accept the updated Terms, unless additional consent is required by law.
